Advertisers Terms and Conditions

This Agreement shall govern participation in the Traffic Internet program ("Traffic Internet "). By participating in the Program, you are agreeing to be bound by these Terms and Conditions. The term 'customer' shall refer to any individual or entity who accepts the terms and conditions of this Agreement by submitting the Program registration. The Program is offered to you by Techsmart Holdings LLC ("Traffic Internet ") in partnership with other advertising network exchanges.


PAYMENT:
All customers are required to pay one-hundred (100%) percent of the cost of the campaign before its activation. Traffic Internet reserves the right to set and negotiate specific payment terms on a Customer-by-Customer basis.


Participation:

Traffic Internet shall have absolute discretion as to whether or not it accepts a particular customer or site for participation in the Traffic Internet Network

1. Traffic Internet will not deliver visitors to sites containing content that is not appropriate for viewing by a general audience. The following are examples (including but not limited to) of the type of sites we will not deliver visitors to:

  • sites with pornography, adult content, sexual or erotic material or sites that contain links to such content
  • Sites containing or linking to software piracy
  • Sites containing or linking to any form of illegal activity (i.e., how to build a bomb, hacking, 'phreaking', etc.)
  • sites with gratuitous displays of violence, obscene or vulgar language, and abusive content or content which endorses or threatens physical harm
  • sites promoting any type of hate-mongering (i.e., racial, political, ethnic, religious, gender-based, sexuality-based or personal, etc.)
  • sites that participate in or transmit inappropriate newsgroup postings or unsolicited e-mail (spam)
  • sites promoting any type of illegal substance or activity sites with illegal, false or deceptive investment advice and money-making opportunities
  • sites with any type of content reasonable public consensus deems to be improper or inappropriate
2. Your Advertisement Page can not contain any other popup windows. Any additional window generated by your site shall be considered a popup window, including popups, pop-behinds, or exit popups windows. If a popup window is installed on the URL at any time, Traffic Internet will stop your campaign immediately and any remaining credits will be forfeited. In this case, you will not be entitled to a refund.

3. Your Advertisement Page can not have background music or sounds

4. Your Advertisement Page can not contain scripts that alter users browser settings

5. Your Advertisement Page can not contain any frame breaking codes.

6. To insure compliance with these terms and conditions, any Customers that change their content after approval for membership MUST notify Traffic Internet of the changes in writing IMMEDIATELY. If your site is changed during the campaign such that it includes inappropriate content, Traffic Internet will stop your campaign immediately. In this case, you will not be entitled to a refund.

Data Reporting (Stats): All Campaigns purchased on the Traffic Internet Network are served, tracked and reported by Campaignstats.net and Traffic Internet.com. For Campaigns that involve third party serving/tracking, accounting may be beyond the control of Traffic Internet. Campaigns that use third party serving/tracking for auditing purposes may be subject to alternate or additional controls. Traffic Internet is the sole owner of all website, campaign, and aggregate web user data collected by Traffic Internet. Customer only has access to website and web user data that is collected as part of Customer's campaign. 

Payment Liability: Traffic Internet reserves the right to hold Customer and any agency, broker or other authorized representative of Customer jointly and severally liable for all amounts owed to Traffic Internet.

Rates : All advertising rates are subject to change at any time.

Minimum CTR : Traffic Internet does not guarantee minimum Click-through Ratio (CTR) for full page pop-up/pop-under banner ads.

GENERAL:
Representations and Warranties: Customer hereby indemnifies and holds harmless Traffic Internet and the Publishers (including their successors, directors, officers, employees, agents, assigns) from and against all claims, loss, liability, damage and expense of any nature (including attorneys' reasonable fees) in connection with the Advertisement URL and its linked websites, for any actual or alleged breach of any term of this Agreement.
Damages: In no event shall either party be liable for special, indirect, incidental, or consequential damages, including, but not limited to, loss of data, loss of use, or loss of profits arising thereunder or from the provision of services.
Limitation of Liability: Neither Traffic Internet nor the participating sites will be subject to any liability whatsoever for (a) any failure to provide reference or access to all or any part of the Advertisement URL due to systems failures or other technological failures of Traffic Internet or of the Internet; (b) delays in delivery and/or non-delivery of a campaign, including, without limitation, difficulties with a Publisher or Website, difficulties with a third-party server, or electronic malfunction; and (c) errors in content or omissions in any Advertisement URL provided by Customer.
Modifications:

The Program reserves the right to change any of these terms and conditions at any time without notice. You are responsible for complying with any changes to the terms and conditions within 10 days of the date of change.

Minimum Age Requirements:

No person under the age of 18 is allowed to participate in our program unless written permission from a parent or legal guardian, notarized, signed, dated and sent to us.

Cancellation:

The Advertiser and the Publisher may stop the campaign at any time with a forty-eight (48) hours written notice. For the termination of the campaign, Advertiser is responsible to pay for all impressions that were served by Traffic Internet, and Traffic Internet shall issue a credit note for all impressions that have not been delivered.

1 Application of these Terms and Conditions

1A: This Traffic Internet ("Website") is owned by Techsmart Holding LLC USA. Your use of the Website is subject to these Terms and Conditions. By using the Website, You agree to be bound by these terms and conditions.

2 Intellectual Property

2A: Except for the temporary copy held in the computer's cache and a single permanent copy retained by a user for his or her personal use, no content on the Website may be used, copied, reproduced, stored in a retrieval system, altered, or transmitted in any form or by any means in whole or part.

2B: For the avoidance of all doubt, the Website and the content on it are supplied for informational use only. You must not reproduce, publish, make an adaptation of, or communicate, any of the content on the Website in any manner or in any form (whether visible or not) for any purpose whatsoever, except as permitted by clause 2A.

2C: The Website and the data contained in it are supplied solely for informational use. Apart from any fair dealing for the purpose of private study, research, criticism or review, as permitted under by clause 2A, no part may be reproduced or re-used for any purpose whatsoever without the written permission of Traffic Internet. Users must not whether through the use of additional software, data mine or conduct automated searches on this site or the data contained in it. However, users may download individual listings for their own private use in the course of the normal use of this site for directory assistance purposes.

2D: The material contained in this site is the copyright of the Traffic Internet 2006 or by the original creator of the relevant material.

2E: Your use of the Website does not create a license or any other rights with respect to the trade marks, service marks, copyright, or other intellectual property or proprietary rights in or on the Website.

3 Links to Third Party Websites

3A: The Website contains links to websites operated by other parties ("Third Party Websites"). Traffic Internet does not have a practice of monitoring or making inquiries about the content of websites accessed by such links. Subject to clause 5B, Traffic Internet is not responsible for, does not endorse and make no representations either expressly or impliedly concerning Third Party Websites, their content or any products or services which they offer. Content contained on Third Party Websites does not represent the views of Traffic Internet . You access Third Party Websites completely at Your own risk.

4 Third Party Content

4A: The Website contains content provided to Traffic Internet by other parties ("Third Party Content"). Traffic Internet does not have a practice of monitoring or making inquiries about Third Party Content. Subject to clause 5B, Traffic Internet is not responsible for, do not endorse and make no representations either expressly or impliedly concerning Third Party Content. Third Party Content does not represent the views of Traffic Internet . You rely on Third Party Content completely at Your own risk.

4B: The Website does not support or endorse the accuracy or reliability of any information, content or advertisements contained, distributed through, or linked, downloaded from the services and businesses contained on the Website. We do not endorse the quality of any services, products, information or materials displayed, purchased, or obtained by you as a result of an advertisement or any other information on the Website. Traffic Internet reserves the right, without any obligation whatsoever, not to display any advertisement that in its view contain any indecent, threatening, misleading, illegal content; or does not publish anything that is suspicious of containing a virus or code designed to interrupt the Site.

4C: Traffic Internet may on notice to you and at its discretion terminate your access to all or part of the Site without the need to provide reasons.

5 Limitation of Liability

5A: Except as set out in clause 5B, Traffic Internet and its respective contractors exclude all:
(a) warranties whether express, implied, statutory or otherwise, relating in any way to the Website or Your use of the Website; and
(b) liability (including for negligence) to You or anyone else in respect of any loss or damage (including special, indirect or consequential loss or damage such as loss of revenue, unavailability of systems or loss of data) arising from or in connection with any use of the information on or access through the Website (including, but not limited to Third Party Content and the Third Party Websites) for any reason whatsoever.

5B: Where any law implies any term into Your use of or any arrangement arising out of the accessing of the Website and that statute prohibits exclusion of that term, then that term applies. If and to the extent permitted by that law, however, Traffic Internet and its contractors' liability for any breach of such term is limited to the resupply of services.

5C: The Website contains advertisements and information provided by third parties. There may be technical inaccuracies, typographical or other errors, programming bugs or computer viruses in the Website or its contents. Traffic Internet and its contractors make no representations about the accuracy or suitability of the information or links provided on the Website. The information is provided 'as is', without express or implied warranty. You use the information and links at Your own risk.

6 Changes

6A: Traffic Internet may change these Terms and Conditions at any time without notice and You agree to be bound by such changes. Those changes shall be posted on the Website.
